This Acceptable Use Policy (the “Policy” or “AUP”) governs your access to and use of UMW Recordings Inc.’s websites, applications, dashboards, APIs, platform environments (including UMW Core), and related services (collectively, the “Services”).
This AUP is incorporated into, and must be read together with, our Terms & Conditions, Anti-Fraud Policy, Refund Policy, DMCA / Copyright Policy, and other applicable policies. If you access the UMW Core platform or a related dashboard environment, additional contractual terms may apply within the applicable dashboard contract, Order Form, or service-specific agreement.
By accessing, browsing, registering for, purchasing, subscribing to, uploading to, interacting with, or otherwise using the Services, you acknowledge and agree to this Acceptable Use Policy in full.

1) Purpose
This Acceptable Use Policy (“AUP”) governs your access to and use of UMW Recordings Inc.’s websites, applications, dashboards, APIs, platform environments, including UMW Core, and related services (collectively, the “Services”).
This AUP is intended to protect platform integrity, legitimate creators, rights holders, partners, and users, while establishing clear standards for responsible use.
2) Scope
This AUP applies to all users, customers, account holders, contributors, visitors, developers, labels, companies, and third parties accessing or using the Services.
This AUP must be read together with the Terms & Conditions, Anti-Fraud Policy, Refund Policy, DMCA / Copyright Policy, privacy-related policies, and any applicable service-specific agreement.
3) Definitions
For purposes of this Policy:
“Content” means any audio, video, artwork, lyrics, metadata, text, files, promotional material, comments, submissions, messages, release materials, or other information uploaded, submitted, generated, shared, stored, displayed, or transmitted through the Services.
“Music Content” includes sound recordings, videos, musical works data, lyrics, artwork, metadata, credits, ownership information, publishing information, territorial data, ISRCs, UPCs, ISWCs, and related release materials.
“Automated Means” means bots, scripts, crawlers, scrapers, browser automation, headless tools, or comparable methods used to interact with the Services without prior written authorization.

You may not:

Because UMW operates a music-distribution and rights-management environment, the following conduct is strictly prohibited:
6.1. Artificial Streaming and Manipulation
You may not artificially inflate plays, streams, views, chart positions, saves, followers, engagement metrics, monetization, or royalty outcomes, whether through bots, click farms, device farms, paid stream schemes, loop streaming, coordinated manipulation, or other deceptive means.
6.2. Unlicensed Content / Rights Violations
You may not upload, submit, distribute, monetize, exploit, or otherwise use unlicensed covers, remixes, mashups, edits, samples, re-uploads, derivative works, or other third-party content without all required permissions, clearances, and supporting documentation.
6.3. Metadata Fraud and Misrepresentation
You may not mislead users, DSPs, rights holders, or UMW through inaccurate or deceptive metadata, including false artist names, writer credits, ownership claims, identifiers, territories, release versions, contributor information, or other material metadata fields.
6.4. Deceptive Promotion / Undisclosed Compensation
You may not engage in deceptive promotion, undisclosed compensation arrangements, payola, or any conduct intended to improperly influence rankings, placements, visibility, user behavior, or monetization outcomes.
6.5. AI and Synthetic Media Rules
Where applicable, you must disclose when audio, vocals, artwork, or related materials are AI-generated or materially synthetic in nature.

7) Subscription and Resale Restrictions
If you subscribe to the Services, you may not, unless expressly permitted in writing by UMW:
A subscription grants only the limited access rights expressly made available by UMW under the applicable plan, agreement, and policies.
8) API and Automated Access
Use of APIs, automated access tools, crawlers, scripted requests, browser automation, or similar technical methods requires prior written authorization from UMW.
UMW may rate-limit, block, suspend, or revoke technical access that exceeds authorized use, creates operational risk, affects other users, or conflicts with platform security or commercial rules.
9) Contributions and Interactive Areas
Where the Services include support forms, contact forms, help areas, application flows, community spaces, or interactive features, you may not submit or transmit content that is unlawful, abusive, defamatory, threatening, fraudulent, infringing, misleading, or harmful.
You remain responsible for all materials submitted through your account or on your behalf.
10) Restricted Goods, Services, and High-Risk Activities
You may not use the Services to promote, facilitate, monetize, distribute, or support unlawful or high-risk activity, including fraud schemes, identity abuse, malware distribution, stolen content, deceptive financial activity, sanctions evasion, or any activity that exposes UMW or its partners to unreasonable compliance, legal, reputational, or payment risk.
11) Trade Compliance
You may not use the Services in violation of applicable sanctions, export controls, financial restrictions, anti-money-laundering obligations, or similar compliance rules.
UMW may block transactions, restrict services, suspend accounts, refuse payouts, or take other compliance-related measures where reasonably necessary to comply with applicable law, regulatory guidance, partner requirements, or requests from competent authorities.
12) Security Research Safe Harbor (Coordinated Disclosure)
UMW welcomes good-faith security research conducted in a coordinated, lawful, and responsible manner.
Where a researcher acts in good faith, avoids privacy violations, avoids service disruption, avoids data exfiltration, provides prompt reporting through official channels, and cooperates with remediation efforts, UMW will not ordinarily pursue legal action solely on the basis of that authorized good-faith reporting.
This Safe Harbor does not apply to malicious conduct, extortion, public disclosure before reasonable coordination, privacy violations, service disruption, data theft, or any activity exceeding responsible and lawful coordinated disclosure.
13) Reporting Violations
To report problematic Content, technical misuse, platform abuse, or violations of this AUP, users should contact UMW through its official reporting channels.
Reports should include sufficient detail to allow reasonable review, including the account involved, affected release or content, date, supporting evidence, and a clear description of the issue.
For copyright complaints, users must follow the applicable DMCA / Copyright process.
14) Enforcement and Consequences
UMW may take any action it reasonably deems appropriate in response to an actual or suspected violation of this AUP, including:
Where a breach involves fraud, rights abuse, or intellectual property infringement, UMW may also apply the Anti-Fraud Policy, DMCA / Copyright Policy, and any other applicable contractual or compliance framework.
15) Appeals and Review Timelines
If you believe that content, access, or account functionality was mistakenly removed, blocked, restricted, or otherwise acted upon, you may submit an appeal through the applicable official reporting channel.
During review, the affected content or access may remain restricted.

16) Disclaimer (No General Duty to Monitor)
UMW is under no general obligation to monitor all user activity, review all platform behavior, or exercise editorial control over user-generated material.
Nothing in this section limits UMW’s right to monitor, review, investigate, remove, restrict, suspend, or report activity where it reasonably deems such action necessary to protect the platform, users, partners, or third parties.
17) Updates to this Policy
UMW may update this Acceptable Use Policy from time to time. Updates become effective upon posting with a revised “Last Updated” date unless a different effective date is expressly stated.
